Abney S. Boxley III, President, Eastern Region, Summit Materials, Inc.

Mr. Boxley has been President and Chief Executive Officer of Boxley Materials Company, a construction materials producer owned by Summit Materials, Inc. (NYSE: SUM), since 1988. Following the acquisition of Boxley by Summit, Mr. Boxley was appointed President of its Eastern Region in 2018. He currently serves as a director of RGC Resources, Inc. (Nasdaq: RGCO), Pinnacle Financial Partners, Inc. (NasdaqGS: PNFP) and the Carilion Clinic. Mr. Boxley also serves on the board of trustees for the Roanoke Regional Partnership, Business Council of Roanoke, GO Virginia Regional Council and Episcopal High School, Alexandria, Virginia.

Anne H. Lloyd, Retired Executive Vice President and Chief Financial Officer Martin Marietta Materials, Inc.

Ms. Lloyd previously served as Executive Vice President and Chief Financial Officer of Martin Marietta Materials, Inc. (NYSE: MLM) from 2005 until her retirement in 2017. She joined Martin Marietta in 1998 as Vice President and Controller and was named Chief Accounting Officer in 1999. Ms. Lloyd currently serves as a director of Highwoods Properties, Inc. (NYSE: HIW) and James Hardie Industries plc (ASX: JHX).

W. Allen Rogers II, Lead Director, Principal - Ewing Capital Partners, LLC Partner - Peter Browning Partners, LLC

Mr. Rogers is a partner in Peter Browning Partners, LLC, a provider of advisory services to public-company boards. He was a principal of Ewing Capital Partners, an investment banking firm which he co-founded, from 2003 until 2022. During 2002 and 2003, he was a Senior Vice President of Intrepid Capital Corporation, an investment banking and asset management firm. From 1998 until 2002, Mr. Rogers was President of Rogers & Company, Inc., a private investment banking boutique. From 1995 through 1997, Mr. Rogers served as a Managing Director of KPMG BayMark Capital LLC, and the investment banking practice of KPMG. Mr. Rogers served as Senior Vice President – Investment Banking of Interstate/Johnson Lane Corporation from 1986 to 1995 and as a member of that firm’s Board of Directors from 1990 to 1995. Mr. Rogers serves as our Lead Independent Director.

Jon M. Ruth, Retired Vice President Cargill

Mr. Ruth previously served in various capacities with Cargill for 35 years, most recently leading its SAP enterprise resource planning implementation across its businesses in Europe and North America from 2008 to 2015, and serving as a director of North Star BlueScope Steel, a joint venture between Cargill and BlueScope Steel, from 2003 to 2015. Prior to these roles, he served as President of Cargill's subsidiary, North Star Steel, from 2003 to 2005 and Executive Vice President, Commercial from 1996 to 2002.

Joseph A. Rutkowski, Principal, Winyah Advisors LLC

Mr. Rutkowski has been a principal at Winyah Advisors LLC, a management consulting company, since 2010. He previously served in various capacities with Nucor Corporation ("Nucor"), the nation's largest steel producer, for 21 years, most recently as Executive Vice President of Business Development from 1998 to 2010. Mr. Rutkowski previously served as Vice President of Nucor from 1993 to 1998, General Manager of Nucor Steel, Hertford Country, North Carolina from August 1998 to November 1998, General Manager of Nucor Steel, Darlington, South Carolina from 1992 to 1998, Manager of Melting and Casting of Nucor Steel, Plymouth, Utah from 1991 to 1998, and Manager of Nucor Cold Finish, Norfolk, Nebraska from 1989 to 1991. Mr. Rutkowski also serves as a director of Cenergy S.A. (CENER.BR) and Viohalco S.A. (VIO.BR).

G. Kennedy Thompson, Retired Partner, Aquiline Capital Partners LLC

Mr. Thompson previously served as a partner at Aquiline Capital Partners LLC, a New York-based private equity firm, from 2009 to 2019. Prior to joining Aquiline, he was Chairman, President and Chief Executive Officer of Wachovia Corporation from 1999 to 2008. Mr. Thompson previously served in numerous financial industry leadership positions, including Chairman of The Clearing House, The Financial Services Roundtable and The Financial Services Forum, and President of the Federal Advisory Council of the Federal Reserve Board. He also currently serves as a director of LendingTree, Inc. (NasdaqGS:TREE) and Pinnacle Financial Partners, Inc. (NasdaqGS:PNFP), and as a trustee of the Morehead-Cain Foundation.

H.O. Woltz III, Chairman, President and Chief Executive Officer

Mr. Woltz currently serves as Insteel's Chairman, President and Chief Executive Officer, and has served in various capacities with the Company and its subsidiaries since 1978. He was elected Chairman of the Board in February 2009 and Chief Executive Officer in 1991. Mr. Woltz was named President and Chief Operating Officer in 1989 after serving as Vice President from 1988 to 1989 and as President of Rappahannock Wire Company, formerly a subsidiary of the Company, from 1981 to 1989. He has been a director of the Company since 1986 and also serves as President of Insteel Wire Products Company, the Company's wholly-owned subsidiary. Mr. Woltz served as President of Florida Wire and Cable, Inc. until its merger with Insteel Wire Products Company in 2002.
